Terms of Service

1. Acceptance of Terms

By accessing or using the Threnic web application and related services (collectively, the "Service"), provided by NXN Technologies LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Threnic is a music visualization tool that allows users to generate video content based on audio files and visual parameters. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.

3. User Accounts

To access certain features, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User-Generated Content & Ownership

Your Ownership: You retain full ownership of the intellectual property rights to the audio files, images, and text you upload to Threnic ("User Assets"). Furthermore, you own the final video output generated using the Service, subject to the license granted below regarding the underlying software assets.

Your Responsibility: You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all "User Assets" you upload. You agree not to use the Service to create videos using copyrighted music for which you do not hold the necessary rights.

License to Us: By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to process, store, and display your User Assets solely for the purpose of providing the Service to you (e.g., rendering the video). We do not claim ownership of your content.

5. Our Intellectual Property

The Service itself, including but not limited to its code, visual interfaces, interactive features, graphics, design, compilation, and all other elements of the Service (excluding your User Assets), is owned by NXN Technologies LLC and is protected by copyright, trade dress, patent, and trademark laws.

Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as incidental to normal web browsing or executing the Service’s intended functions.

6. Prohibited Activities

You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law (including intellectual property laws).
• To generate content that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, or otherwise objectionable.
• To reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.

7. Subscriptions and Payments

If you purchase a subscription or credits:

• Billing: You agree to provide current, complete, and accurate purchase and account information.
• Refunds: All sales are final and non-refundable, except as required by law or at our sole discretion.
• Changes: We reserve the right to change our pricing at any time, with reasonable notice provided to you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NXN TECHNOLOGIES LLC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NXN TECHNOLOGIES LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of Washington.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
